Terms of Service

Effective 5 August 2026

These Terms of Service ("Terms") are a binding agreement between you ("you", "your", "Customer") and TextLaunchPad LLC ("TextLaunchPad", "we", "us", "our"), governing your access to and use of the TextLaunchPad platform at textlaunchpad.com and any related software, APIs and services (together, the "Service").

By creating an account, clicking to accept these Terms, or using the Service, you agree to them. If you are accepting on behalf of a company or other organization, you represent that you have authority to bind it, and "you" means that organization.

If you do not agree to these Terms, do not use the Service.

1. What the Service is, and what it is not

TextLaunchPad is software. It organizes contact lists, composes and schedules text messages, applies suppression rules, and presents replies.

TextLaunchPad is not a telecommunications provider and does not transmit messages. Messages you send leave through your own Twilio account, on telephone numbers you acquire and control, under a 10DLC brand registered in your own business's name. To the carriers and to the recipient, you are the sender, because you are.

This is a description of the architecture, not a disclaimer. There is no shared sending account, no pooled numbers, and no path by which a message reaches a handset except through credentials you supply and control.

Accordingly:

2. Definitions

3. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract. The Service is offered for business use; it is not intended for personal or household purposes.

You are responsible for:

Notify us promptly at textlaunchpad@gmail.com if you believe your Account has been accessed without authorization.

4. Free trial, fees, and renewal

Trial. New Accounts may begin a 14-day free trial. A valid payment method is required to start the trial. Nothing is charged during the trial period.

Charges begin automatically. Unless you cancel before the trial ends, the Subscription you selected begins and the payment method on file is charged the then-current fee for that plan.

Recurring billing. Subscriptions renew automatically each month until canceled. By subscribing, you authorize us and our payment processor to charge your payment method on each renewal date, at the then-current fee.

Cancellation. You may cancel at any time, effective at the end of the then- current billing period. You retain access until that period ends.

No pro-rata refunds. Fees already paid are non-refundable except where required by law, or where we expressly agree otherwise in writing. Canceling mid-period does not entitle you to a refund of that period.

Price changes. We may change fees on at least 30 days' notice to the email address on your Account. Changes take effect at your next renewal. Continuing to use the Service after that date constitutes acceptance; if you do not accept, cancel before the renewal date.

Carrier and third-party costs are separate. Fees payable to Twilio for numbers, messages and 10DLC registration, and to any AI provider, are yours and are billed by those providers directly. Our fees do not include them.

Taxes. Our fees are exclusive of sales, use, VAT and similar taxes. You are responsible for those, other than taxes on our net income.

Failed payment. If a charge fails, we may suspend the Account after reasonable notice. Sending stops on suspension; your data is retained in accordance with Section 13.

5. Your compliance obligations

This section is the heart of the agreement. Read it.

Consent. You represent and warrant that, for every telephone number you message through the Service, you have the consent required by applicable law at the time of sending. In the United States this includes the Telephone Consumer Protection Act (TCPA) and its implementing rules, and state statutes that impose stricter requirements. You alone determine whether a given contact is lawful.

Registration. You are responsible for registering and maintaining your 10DLC brand and campaigns accurately, and for any consequence of registration that is inaccurate, incomplete or misleading.

Opt-outs. The Service recognizes STOP and equivalent keywords, adds those numbers to your suppression list, and refuses to send to them. That is a feature, not a compliance guarantee. You remain responsible for honoring every opt-out however it reaches you — by reply, by phone, by email, or in person — and for not defeating suppression by re-importing a suppressed number, disabling a suppression list, or messaging from a channel outside the Service.

Content. You are responsible for the content of your messages, including required sender identification and opt-out instructions, and for ensuring content is not deceptive, harassing, or unlawful.

Prohibited use. You will not use the Service to:

We do not police this, and cannot. We do not review your lists or your messages before they are sent. The obligations in this section are yours, and the consequences of breaching them — carrier action, regulatory action, private litigation — fall on you as the sender.

6. Suspension

We may suspend your Account or specific functionality, with notice where practicable and without notice where not, if:

Where suspension is for suspected breach, we will describe the reason and give you an opportunity to respond, unless doing so would be unlawful or would compromise the security of the Service.

7. AI features

The Service includes features that use artificial intelligence to draft message copy, summarize conversations, classify replies by intent, and suggest responses.

These features produce suggestions, not decisions. Model output can be wrong, can misclassify a reply, and can produce text that is inaccurate or unsuitable. You are responsible for reviewing anything an AI feature produces before it is sent, and for any message sent as a result.

In particular, do not rely on AI classification to determine whether someone has opted out. Opt-out handling is keyword-based and deterministic and is described in Section 5; the AI intent labels are a triage aid and nothing more.

Where you supply your own AI provider API key, that provider's terms apply to your use of their model, and you are responsible for the cost.

8. Customer Data

You own it. As between you and us, you retain all right, title and interest in Customer Data. We claim no ownership of it.

Our license. You grant us a non-exclusive, worldwide license to host, copy, transmit, display and process Customer Data solely to provide, secure, and support the Service, and to comply with law.

Our commitments. We will not sell Customer Data. We will not use the contents of your contact lists or messages to market to your contacts. We will not disclose Customer Data to third parties except: to Third-Party Services acting at your direction (such as Twilio, to transmit a message you composed); to service providers who host or support the Service under confidentiality obligations; or where required by law, in which case we will give you notice unless legally prohibited.

Aggregate data. We may compile aggregated, de-identified statistics about use of the Service — for example, overall delivery rates or feature usage — and use them to operate and improve the Service. Such statistics will not identify you, your contacts, or the content of your messages.

Your responsibility for the data itself. You represent that you have the right to provide Customer Data to us and that our processing of it at your direction will not violate any law or any third party's rights.

Security. We maintain administrative, technical and physical safeguards designed to protect Customer Data, including tenant isolation between customer Accounts, encryption of credentials at rest, and access controls. No system is perfectly secure, and we do not warrant that the Service cannot be compromised.

9. Third-Party Services

The Service integrates with Twilio, with PayPal, and optionally with AI providers you choose. Those services are operated by third parties under their own terms and privacy policies, and we do not control them.

We are not responsible for the availability, accuracy, security or performance of any Third-Party Service, nor for any act or omission of its operator. Your relationship with each of them is your own, including as to fees, service levels and liability. Interruption of a Third-Party Service may interrupt your use of the Service, and that is not a breach of these Terms by us.

10. Intellectual property

We and our licensors own all right, title and interest in the Service, including its software, interfaces, documentation, and all improvements to them. Subject to these Terms and your payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your Subscription.

You will not: copy, modify, or create derivative works of the Service; reverse engineer or attempt to derive source code (except to the extent this restriction is unenforceable under applicable law); remove proprietary notices; or use our name or marks without written permission.

Feedback. If you send us suggestions, we may use them without restriction or obligation to you.

11. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

No legal advice. Nothing in the Service, in our documentation, or in any communication from us is legal advice. Compliance guidance in the product is provided for convenience and is not a substitute for advice from your own counsel.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

No indirect damages. NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY.

Cap. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Specifically excluded. WE WILL HAVE NO LIABILITY FOR ANY CLAIM, PENALTY, FINE OR JUDGMENT ARISING FROM MESSAGES YOU SENT, THE CONSENT YOU DID OR DID NOT HAVE, YOUR 10DLC REGISTRATION, CARRIER FILTERING OR BLOCKING OF YOUR TRAFFIC, OR ANY ACT OR OMISSION OF A THIRD-PARTY SERVICE.

These limitations apply regardless of the theory of liability and even if a limited remedy fails of its essential purpose. They do not apply to your payment obligations, to your indemnity obligations under Section 13, or to liability that cannot be limited under applicable law.

13. Indemnification

You will defend, indemnify and hold harmless TextLaunchPad, its officers, directors, employees and agents from and against any third-party claim, demand, proceeding, loss, liability, damage, fine, penalty, cost or expense (including reasonable legal fees) arising out of or relating to:

We will notify you of the claim, give you control of the defense (except that you may not settle in a way that imposes obligations on us without our consent), and cooperate at your expense.

14. Term, termination, and what happens to your data

These Terms begin when you first accept them and continue while you have an Account.

By you. You may terminate at any time by canceling your Subscription and closing your Account.

By us. We may terminate for material breach that remains uncured 10 days after written notice, or immediately if breach of Section 5 is material and ongoing, or if required by law or by a carrier.

On termination: your license to use the Service ends and sending stops immediately.

Data export and deletion. For 30 days after termination you may request an export of Customer Data, which we will provide in a machine-readable format. After that period we may delete Customer Data, and will delete it within a further 90 days except where retention is required by law or for legitimate backup cycles. Backups are purged on their ordinary schedule.

Survival. Sections 8 (as to ownership), 10, 11, 12, 13, 14, 16 and 17 survive termination.

15. Changes to the Service and to these Terms

The Service. We develop the Service continuously and may add, change or remove features. We will not materially degrade the core function of a paid plan during a period you have paid for.

These Terms. We may amend these Terms. For material changes we will give at least 30 days' notice by email to the address on your Account and by notice in the Service, and the change takes effect at the start of your next billing period following that notice. Continuing to use the Service after that date constitutes acceptance. If you do not accept, your remedy is to cancel before the change takes effect.

Each version of these Terms is identified by its effective date. The version you accepted, and the date and IP address from which you accepted it, are recorded against your Account.

16. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution first. Before filing any claim, the parties will attempt in good faith to resolve the dispute by notice to the other and 30 days of discussion. Notice to us goes to textlaunchpad@gmail.com.

Binding arbitration. If the dispute is not resolved, it will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in the Commonwealth of Virginia. Judgment on the award may be entered in any court of competent jurisdiction.

Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.

Class action waiver. DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

Opt-out. You may reject the arbitration agreement and class waiver in this Section 16 by sending written notice to textlaunchpad@gmail.com within 30 days of first accepting these Terms, stating your name, your Account email, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

17. General

Entire agreement. These Terms, together with any documents they expressly incorporate, are the entire agreement between the parties about the Service and supersede all prior proposals and understandings.

Order of precedence. If a conflict arises between these Terms and a document incorporated by reference, these Terms control unless that document expressly states otherwise.

Assignment. You may not assign these Terms without our written consent, except to a successor in a merger or sale of substantially all your assets. We may assign freely. Any other attempted assignment is void.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including carrier failures, outages of Third-Party Services, acts of government, and natural disasters. This does not excuse payment obligations.

Severability. If a provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions stay in force.

No waiver. A failure to enforce a provision is not a waiver of it.

Independent contractors. The parties are independent contractors. Nothing here creates a partnership, joint venture, agency, or employment relationship.

Notices. Notices to you may be sent to the email address on your Account or posted in the Service, and are effective when sent or posted. Notices to us must be sent by email to textlaunchpad@gmail.com and are effective on the day sent.

Publicity. We will not use your name or marks in marketing without your prior written consent.
